Mergers and Acquisitions

There are three main types of mergers. They are horizontal mergers which increase market share, vertical mergers which exploit existing synergies and concentric mergers which expand the product offering. Company governance and structure

Venture Capital

This is our firm's most widely used and popular service. This is where we set companies and founders up properly to receive investor capital. Capitalization and Offering Classes

Capitalization reflects the theoretical value of company, but this is usually not what the company could be purchased for in a normal merger transaction. The term may also refer to the conversion of assets or income into capital; a quantitative assessment of a company's capital structure. One reason for this is that the value of material nonpublic information, management changes, operating synergies between the acquirer and the company, and other intangible factors may not be reflected in the stock price or the financial statements. Offering Classes. Investors often ask for rights to be paid back first in exchange for their investment. The way these different rights are handled is by creating different offering classes. The exact number of offering classes and the differences between them can vary from company to company, and, in a startup, these can vary at each round of funding.
